Terms, Software Licence & Privacy Policy

Your purchase grants you a licence to use SRG OPCOMS. Ownership of the software, source code, trademarks and intellectual property is not transferred.

SRG OPCOMS is operated and supplied by Praetorian Security Group Ltd, a company registered in England and Wales (“Company”).

For the purposes of these Terms, references to “Customer”, “you” or “your” mean the individual, company, organisation or other legal entity purchasing, accessing or using OPCOMS.

1 Acceptance of these Terms

By purchasing, downloading, installing, activating, accessing or using SRG OPCOMS, you confirm that you have read, understood and agreed to these Terms.

Where you purchase or use OPCOMS on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not purchase, install, access or use OPCOMS.

2 SRG OPCOMS

SRG OPCOMS is an operations management platform designed to assist organisations with functions that may include task management, operational oversight, fleet management, inventory management, procurement oversight, inspections, reporting, staff coordination and related operational activities.

Features may vary according to the version, configuration, licence or modules purchased by the Customer.

We may develop, modify, improve or discontinue individual features as the Software develops.

3 Software Licence

Unless expressly stated otherwise in a separate written agreement, purchasing OPCOMS provides the Customer with a licence to use the Software.

It does not constitute the purchase or transfer of ownership of OPCOMS itself.

Subject to payment of all applicable fees and compliance with these Terms, the Customer is granted a limited, non-exclusive and non-transferable licence to use OPCOMS for its legitimate internal business operations.

Where a licence is sold as a one-time or perpetual licence, the Customer may continue using the licensed version subject to these Terms.

A perpetual licence does not automatically entitle the Customer to unlimited future development, major new versions, additional modules, hosting, technical support or other services unless specifically included in the purchased package.

4 Intellectual Property

All intellectual property rights in or relating to OPCOMS remain the property of Praetorian Security Group Ltd and/or its applicable licensors, except where expressly stated otherwise in writing.

This includes, where applicable:

No intellectual property rights are transferred to the Customer merely because the Customer purchases or uses OPCOMS.

SRG OPCOMS™ and associated branding may not be copied or used to market another product without written permission.

5 Source Code

The OPCOMS source code is proprietary and confidential.

A standard OPCOMS licence does not provide the Customer with ownership of or an entitlement to the source code.

Source-code access, where offered, requires a separate written agreement specifying the extent and purpose of that access.

Providing technical or source-code access to a Customer, reseller, contractor or other party does not transfer ownership of the Software or its intellectual property unless a separate written IP assignment expressly states otherwise.

6 Restrictions

Except where permitted by applicable law or expressly authorised by us in writing, Customers must not reproduce or distribute OPCOMS for commercial resale, sublicense the Software, sell unauthorised copies, remove proprietary notices, bypass licence or security controls, provide unauthorised third parties with source code, or use OPCOMS materials to create a substantially copied competing product.

Customers may configure and use OPCOMS for their own legitimate business operations in accordance with their licence.

7 Customer Data

The Customer retains ownership of operational information and other data that it enters into OPCOMS.

The Customer is responsible for ensuring that it has the lawful authority to collect, store and process personal information entered into the Platform.

Customers must not knowingly use OPCOMS to store or process information unlawfully.

Where we process personal information on behalf of a Customer, applicable data protection laws may require additional contractual arrangements, including a separate Data Processing Agreement (DPA).

8 Privacy

We may collect information reasonably required to operate our business and provide OPCOMS, including customer names, company information, business contact details, account information, licence information, payment records, support communications, technical information and usage/security information.

We may process this information to provide and administer OPCOMS, process transactions, manage licences, provide customer support, maintain security, prevent fraud, comply with legal obligations and improve our services.

We will not sell Customer personal information to third parties.

Personal information may be shared with service providers where reasonably necessary for payment processing, hosting, infrastructure, communications, professional services or legal compliance.

Where required, those providers will be subject to appropriate contractual and data-protection obligations.

9 Cookies

The SRG OPCOMS website may use cookies and similar technologies required for website functionality, security, user sessions and preferences.

Analytics or marketing cookies should only be used in accordance with applicable privacy and electronic communications requirements.

Where legally required, visitors will be provided with appropriate cookie controls and consent options.

10 Security and Accounts

Customers are responsible for maintaining appropriate security over their OPCOMS accounts, passwords, administrator credentials and authorised users.

Customers must promptly notify us if they become aware of suspected unauthorised access or a security compromise relating to their OPCOMS environment.

We may take reasonable steps to protect OPCOMS and its infrastructure from misuse, unauthorised access or security threats.

11 Installation and Configuration

Installation, deployment, configuration, migration, training or other implementation assistance will only be included where specified in the Customer's purchased package or quotation.

Additional configuration, development, integrations or technical work may incur additional charges.

12 Third-Party Software

OPCOMS may use or interact with third-party services, libraries, frameworks, APIs or open-source software.

Such components may be subject to their own licences and terms.

Nothing in these Terms is intended to restrict rights granted to a Customer directly under an applicable open-source licence.

13 Hosting and Availability

Where OPCOMS is hosted by the Customer or a third-party provider selected by the Customer, the Customer is responsible for the availability and security of that hosting environment unless otherwise agreed.

Where hosting is provided directly by us, the applicable hosting arrangements may be governed by additional service terms.

We do not guarantee that OPCOMS will operate without interruption or that every software defect can be eliminated.

14 Operational Responsibility

OPCOMS is designed to assist organisations with operational management and oversight. It does not replace professional judgement or the Customer's management responsibilities.

The Customer remains responsible for its operations, staff, regulatory obligations, health and safety requirements, financial controls, emergency procedures and compliance obligations.

OPCOMS should not be treated as the sole emergency, life-safety or regulatory compliance system of an organisation.

15 Pricing and Payment

Prices are those displayed on our website or specified in an authorised quotation, invoice or written agreement.

Payment must be made using an approved payment method.

Applicable taxes may be added where legally required.

A one-time licence fee applies only to the licence, version, modules and services described at the time of purchase.

16 Refunds

Any advertised refund guarantee will be subject to the conditions stated at the time of purchase.

Where we advertise a 30-day money-back guarantee, requests must normally be submitted within 30 calendar days of the original purchase and may be subject to reasonable conditions designed to prevent abuse, unauthorised copying or continued use after a refund.

Nothing in these Terms limits statutory rights that cannot legally be excluded.

17 Updates and New Versions

We may release patches, updates, improvements, additional modules or new versions of OPCOMS.

Unless specifically included in the Customer's licence, major upgrades, new modules, custom development, hosting and additional services may be separately priced.

18 Support and Maintenance

Support or maintenance is provided only where included with the Customer's licence or purchased separately.

A perpetual software licence does not create an obligation for us to provide perpetual free technical support, development or maintenance.

19 Resellers and Distributors

OPCOMS may only be commercially resold or distributed by parties specifically authorised by us.

Appointment as a reseller, distributor, sales representative, implementation partner or other commercial partner does not provide ownership of OPCOMS, its source code, trademarks or intellectual property.

Any reseller or distributor relationship must be governed by a separate written agreement.

20 Suspension and Termination

We may suspend or terminate access to services we control where reasonably necessary following a material breach of these Terms, fraudulent activity, deliberate security abuse, infringement of our intellectual property or unlawful use of OPCOMS.

Where a licence is terminated because of a material breach, the Customer must cease unauthorised use of the Software.

Termination does not transfer any intellectual property rights to the Customer.

21 Confidentiality

Non-public source code, technical documentation, credentials, security information and other information clearly identified or reasonably understood to be confidential must not be disclosed to unauthorised third parties.

These confidentiality obligations continue where reasonably applicable after termination of the commercial relationship.

22 Warranty

We will use reasonable care and skill in supplying OPCOMS and associated services.

However, software may contain defects and may be affected by operating systems, networks, hosting environments, third-party services, integrations or Customer configurations outside our control.

Customers are responsible for determining whether OPCOMS is appropriate for their particular operational requirements.

23 Limitation of Liability

To the fullest extent permitted by applicable law, Praetorian Security Group Ltd will not be liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or losses resulting from circumstances outside its reasonable control.

Our aggregate liability arising from a particular OPCOMS licence will, where legally permissible, be limited to the amount paid to us for the relevant licence or service giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable UK law.

24 Changes to these Terms

We may update these Terms where reasonably necessary because of changes to OPCOMS, our services, applicable laws, security requirements or business operations.

The current version will be published on srg-opcoms.com with its effective date.

Material changes affecting an existing Customer's contractual rights will be handled in accordance with applicable law and any existing agreement with that Customer.

25 Governing Law

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

Subject to any mandatory rights that apply otherwise, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.

26 Entire Agreement

These Terms, together with the applicable quotation, order, licence details and any separately executed agreement, constitute the agreement relating to the Customer's purchase and use of OPCOMS.

Where a separately signed agreement expressly conflicts with these Terms, the separately signed agreement will take precedence to the extent of that conflict.
